1. Scope

These Terms of Use govern the use of speechlessag.com and the public and protected content made available through it by Speechless AG.

By accessing the website or the protected area, you agree to these Terms of Use.

2. Informational Nature

The content published on this website is provided for general informational purposes only. It does not constitute advice, a representation, a warranty or, unless explicitly stated otherwise, a legally binding offer.

3. No Public Registration Model

Access to the investor area or data room is available only to users who have been pre-registered and authorized by Speechless AG. There is no entitlement to registration, activation or continued availability of access.

4. Access Credentials and User Responsibility

Where access credentials are provided to you, they must be kept confidential and protected against unauthorized access by third parties. You may not share your credentials or allow any third party to use your account.

You must notify Speechless AG without undue delay if you become aware of any indication of unauthorized use of your account or credentials.

5. Prohibited Use

The following are prohibited in particular:

• any unauthorized use of the protected area,
• circumvention of technical or organizational safeguards,
• automated access, scraping, crawling or comparable extraction processes without prior written consent,
• sharing, publishing or otherwise using protected content outside the permitted purpose,
• any use that may impair the security, integrity or availability of the platform.

6. Data Room, Confidentiality and No-Download Rule

Enhanced confidentiality and security requirements apply to the protected data room.

Unless expressly released otherwise in writing, the following applies in particular:

• documents and content may not be downloaded,
• content may not be copied, forwarded or used outside the permitted purpose,
• technical display or viewer functionality does not grant any broader right of use in the content made available.

A separate confidentiality process or NDA may additionally apply and remains unaffected by these Terms of Use.

7. Intellectual Property Rights

All rights in and to the content, texts, structures, documents, marks, graphics, layouts and other elements of the website and the data room remain with Speechless AG or the respective rights holder.

No such content may be used, in whole or in part, outside the expressly intended purpose without prior written consent.

8. External Services and Third-Party Content

Where content or technical functions are provided through external or connected services, in particular SharePoint or Microsoft viewer functionality, such services are used solely within the intended technical integration. Speechless AG does not warrant that third-party platforms will be available at all times without interruption.

9. Availability

Speechless AG seeks to provide the website and the protected area as reliably as possible, but does not warrant uninterrupted availability, freedom from error or constant accessibility.

Speechless AG may change, restrict, suspend or discontinue content, functions, viewers, access models or parts of the data room at any time, whether temporarily or permanently.

10. Limitation of Liability

To the extent permitted by law, Speechless AG excludes all liability for direct or indirect damage arising from the use or unavailability of the website, the data room, external platform components or the information provided.

Mandatory statutory grounds of liability remain reserved.

11. No Implied Grant of Rights

The mere provision of website content, documents, displays, viewer functionality or structured data does not imply any grant of rights of use, exploitation, download or onward disclosure.

12. Governing Law and Jurisdiction

These Terms of Use are governed by the substantive laws of Switzerland.

Exclusive jurisdiction shall be in Zug, Switzerland, unless mandatory law provides otherwise.
